We facilitate the generation, management, and publication of reviews, but we do not verify, endorse, or otherwise guarantee the accuracy, quality, or authenticity of any AI-generated Content or user-submitted reviews. All reviews and Content are solely the responsibility of the User or Client submitting them.

2. Acceptance, Modifications, and Binding Agreement

2.1 Acceptance of Terms

By accessing or using the Service, you hereby irrevocably accept and agree to be bound by these Terms, as well as any additional terms and policies incorporated by reference herein. You represent and warrant that:

You are at least 18 years old.
You have the legal capacity to enter into binding contracts.
Your use of the Service complies with all applicable laws and regulations.
You understand and accept all risks associated with the use of the Service.

Reverse-engineer, decompile, or otherwise attempt to derive the source code of any portion of the Service.

3.3 Client Responsibilities

If you are a Client integrating Rephew.Click into your own platform, you agree to:

Obtain all necessary consents and authorizations from your end-users prior to using the Service to collect or publish reviews.
Ensure that your use of the Service complies with all applicable data protection and privacy laws, such as GDPR, CCPA, and similar regulations.
Independently verify and moderate any AI-generated Content before making it publicly available.
Handle and resolve any disputes, claims, or issues arising from the publication or use of reviews generated via the Service.
Clearly disclose on your platform that the reviews and Content are managed through an automated service provided by Rephew.Click, and that Rephew.Click holds no responsibility for the veracity or appropriateness of the published reviews.

4. Intellectual Property and Content Rights

4.1 Ownership

Rephew.Click retains all rights, title, and interest in and to the Service, the Platform, and all related technology, including any modifications or improvements.
All trademarks, logos, and service marks displayed on the Service are the property of their respective owners.
You retain ownership of any Content that you submit; however, by submitting Content to the Service, you grant Rephew.Click a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, store, process, display, and modify such Content for the purpose of operating and improving the Service.

4.2 Restrictions on Use

You may not use, reproduce, or distribute any part of the Service or Content for commercial purposes without explicit written permission from Rephew.Click.
Unauthorized use of any intellectual property of Rephew.Click may result in immediate termination of your access to the Service and potential legal action.

5. Disclaimers and Limitation of Liability

Accuracy of AI-Generated Content: While we strive to provide high-quality AI-generated Content, we do not warrant its accuracy, completeness, or appropriateness. Users and Clients are solely responsible for verifying all generated reviews prior to publication.
No Endorsement: Rephew.Click is solely a facilitator. We do not endorse any products, services, or opinions expressed in reviews generated through the Service.
Third-Party Services: We do not control or guarantee the performance, reliability, or policies of any third-party services referenced on the Service (e.g., Google, OpenAI, Facebook, Stripe, Trustpilot).

5.2 Limitation of Liability

To the maximum extent permitted by law:

Aggregate Liability Cap: Rephew.Click’s total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you for the Service in the preceding 12 months or $100, whichever is lower.
Exclusion of Indirect Damages: In no event shall Rephew.Click be liable for any indirect, incidental, consequential, punitive, or special damages, including without limitation, loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

6. Payment, Fees, and No Refund Policy

Processing: All payments for the Service are processed securely via Stripe. By providing your payment information, you agree to be bound by Stripe’s Terms of Service and Privacy Policy.
Fee Structure: Fees for the Service are charged in advance and are subject to change. Any changes to pricing will be communicated through the Service and on our website.
Taxes: You are solely responsible for all taxes, duties, or other governmental charges associated with the use of the Service.
Payment Failures: In the event of failed payments, your account may be suspended or terminated until outstanding fees are settled.

6.2 No Refund Policy

Finality of Payments: All fees paid to Rephew.Click are final. Under no circumstances will refunds, credits, or adjustments be issued for unused services or due to dissatisfaction, even in cases of service termination.
Service Termination: Should your access to the Service be terminated for any reason, you will not be entitled to any refund of fees already paid.

By User/Client: Users may request account deletion by contacting us via email. Please note that a 30-day processing period will apply to any such request.

Upon termination or account deletion, your access to the Service will cease immediately.
All data associated with your account may be permanently deleted, and Rephew.Click is not obligated to provide data recovery or export services post-termination.
Termination does not relieve you of any outstanding payment obligations or liability incurred prior to termination.

9. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

9.2 Dispute Resolution

Arbitration: You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration in accordance with the rules of arbitration in the United Kingdom.
Waiver of Class Actions: Disputes shall be resolved on an individual basis only, and you waive any right to participate in a class action or class-wide arbitration.
